Overview

1. Allow an Original Universe Licensor (OUL) or "owner" to register a Shared Universe with Draft2Digital, LLC (D2D), thereby licensing other D2D authors to publish derivative works within that world at a shared royalty.
2. Allow a D2D author to identify a book project as belonging to a Shared Universe.
3. Royalties received for works part of Shared Universe will be split as per the OUL Terms (after D2D has deducted our commission) between the OUL and D2D author.
4. It is a condition of your participation in the Shared Universe Program (SUP) to allow all D2D current and future digital stores, subscription services, and libraries the right to distribute these derivative works provided by you as part of the SUP.

Terms & Conditions

Our Shared Universe Program allows Draft2Digital, LLC ("us" or "we" or "Draft2Digital") to distribute digital content and other works ("Shared Universe Works") you create using elements from an original universe of other works and content (the "Original Universe"). In addition to the terms and conditions of our Terms of Service and Privacy Policy (the "D2D Terms"), and the owner(s) (the "Original Universe Licensor" or "OUL") of the intellectual property related to the Original Universe (the "OUL Terms") the following terms and conditions govern your participation in the Shared Universe Program and our distribution of Shared Universe Works.

By clicking accept where you're given the option to do so, you agree to comply with and be bound by the Agreement. If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have the legal authority to bind that company or legal entity to the Agreement. If you do not have the authority, or do not agree with the terms of this Agreement, you must not confirm acceptance and you may not participate in the Shared Universe Program.

1. Each Original Universe in the Shared Universe Program is distinct. Distribution of your Shared Universe Works is subject to the approval of and compliance with conditions that are or may be later imposed by the OUL. As a condition to your eligibility to participate in our Shared Universe Program, you must have first entered into OUL Terms specific to the Original Universe related to your Shared Universe Works. By accepting these terms, you represent and warrant that you have so entered into OUL Terms with the applicable OUL for each Shared Universe Work you distribute through this program, and you agree to comply with any and all such OUL Terms. You further agree to provide copies of any such OUL Terms upon request by Draft2Digital. You also agree that, if applicable, a percentage of sales due to the OUL under OUL Terms as a result of the distribution of your Shared Universe Works shall be sent by Draft2Digital to the applicable OUL.
2. You grant us the sublicenseable right and license to reproduce, print, publish, distribute, translate, display, make derivative works of, and transmit your Shared Universe Works and all characters, scenes, events and protectable content of your Shared Universe Works ("New Elements"), in whole and in part, in each country in the world, in all languages and formats, and by all means now known or later developed, in order to distribute your Shared Universe Works through our Shared Universe Program, you grant us the royalty free, nonexclusive right to use your name, and likeness in any medium worldwide in connection with our distribution of your Shared Universe Works.
3. Excluding rights in the Original Universe and those owned by other Shared Universe Program participants, you represent and warrant that: (a) you have the right to provide your Shared Universe Works to us for distribution through our Shared Universe Program; (b) you will comply with the terms of the Agreement and any additional guidelines imposed by the OUL, whether under the OUL Terms and whether in place on or after the date of your acceptance of these terms; (c) your Shared Universe Works are not and will not be offensive, as determined by Draft2Digital, which includes, but is not limited to, racial slurs, excessively graphic or violent material, or pornography; and (d) that your Shared Universe Works and New Elements are not and will not be (i) libelous, (ii) in violation of any third party rights, (iii) violate any law or regulation, or (iv) with respect to statements presented as factual, inaccurate or false.
4. To the fullest extent permitted by applicable law, you will defend, indemnify and hold Draft2Digital and its officers, directors, employees, affiliates, subcontractors, licensees, distributors and assigns harmless from and against any loss, claim, settlement, liability, damage, action or cause of action (including reasonable attorneys’ fees) that relates to any breach by you of any representation, warranty or obligation in these terms or participation in the Shared Universe Program. In the event of a claim falling within this Section, we may withhold monies that may be due to you to offset our potential liability resulting from the same. You agree that the foregoing is in addition to and not intended to supersede any other indemnity and defense obligations you may have under the D2D Terms or otherwise.
5. Your Shared Universe Works are eligible for distribution by us so long as they comply with these terms, the D2D Terms and the OUL Terms (the "Agreement"). You acknowledge and agree that we may immediately cease the distribution of your Shared Universe Works and/or revoke your eligibility to participate in the Shared Universe Program should we believe, in our sole discretion, that you are or may be in violation of the Agreement. You agree that the OUL is an intended third-party beneficiary of these Supplemental Terms and has the right to enforce the same against you. You agree that these terms are in addition to and in no way supersede the D2D Terms, the provisions of which govern your participation in the Shared Universe Program. To the extent there is a conflict among any term of these terms and the D2D Terms, these terms shall control.
